Terms and Conditions
Of Webdesign by Marc Oliver David Ruprecht in Itingen BL
Introduction
- The present terms and conditions, hereafter terms, are the legal foundation of any business conducted between Ruprecht Webdesign by Marc Oliver David Ruprecht, Geissbrunnenweg 37, CH-4452 Itingen BL (hereafter Ruprecht Webdesign), and its clients.
- The legal foundation of the terms is the Swiss Code of Obligations.
- Individual terms deviating from the present ones are only valid upon mutual consent in written form.
- The privacy policy of Ruprecht Webdesign take precedence of the terms.
- Unless there is a different agreement, the invoices are issued and payable in Swiss Francs (CHF). In case the customer pays in another currency, the exchange rate of said day is applied.
- Ruprecht Webdesign has the right to change the present terms without prior notice.
- Only the German text of the terms is legally binding.
- If any of the points of the terms is legally invalid, the other points remain in vigor (severability clause)
- The court of jurisdiction for any legal conflict between Ruprecht Webdesign and the customer is Sissach BL.
Designs
Creating a Design
- In the sense of the present terms, “design(s)” is referring to any service(s) advertised on the present website.
- Ruprecht Webdesign will execute a customer order for creating a design in all due conscience.
- A customer order is considered executed in the moment Ruprecht Webdesign deactivates the maintenance mode of the website upon written instruction of the client.
Invoicing the Design
- Upon execution ofthe customer order (see above), Ruprecht Webdesign sends an invoice to the client, which will be due within 10 business days.
- Ruprecht Webdesign may restrict the access to the design(s), delete them, and/or initiace collection procedures in case of non-payment of the invoice.
- Furthermore, Ruprecht Webdesign may ask for an advance payment for third-party services, e. g. photos downloaded from services such as iStock.
Copyright
- The copyright of any design created by Ruprecht Webdesign remains its property up until the moment the client pays the corresponding invoice – in said moment, the copyright is automatically transferred to the client.
- Ruprech Webdesign will only use designs created with its own software or purchased from third parties for this explicit end.
- Ruprecht Webdesign cannot be held liable for copyright infringements by the client. In case the client wishes to use a third-party brand for its own advertisement, Ruprecht Webdesign may ask for written confirmation from the copyright owner.
Hosting
- Unless there is any different agreement, Ruprecht Webdesign is responsible for the hosting of the website designed for the customer. The hosting period starts on the date of completion of the customer order and lasts exactly one year.
- Unless the client cancels the hosting at least 60 days prior to the end of the term according to 1, the hosting will be renewed automatically for another year.
- In case of non-payment of the hosting invoice, Ruprecht Webdesign may cancel the hosting contract immediately and/or initiate collection prcedures.
